1. Acceptance


PLEASE READ THE FOLLOWING CAREFULLY, THESE TERMS OF USE (“TERMS OF USE”) CONSTITUTE A BINDING, LEGALLY ENFORCEABLE AGREEMENT BETWEEN YOU AND REELCOMP INC., (“REELCOMP”). BY USING, SUBMITTING INFORMATION, CONTENT OR MATERIALS (HEREINAFTER “USER SUBMISSIONS”) TO AND/OR ACCESSING OR VISITING THIS WEBSITE, INCLUDING ALL CONTENT PUBLISHED, STORED, OR OTHERWISE MADE AVAILABLE HEREIN,(COLLECTIVELY REFERRED TO AS “THE REELCOMP WEBSITE”), YOU SIGNIFY YOUR ASSENT TO BOTH THESE TERMS OF USE (THE “TERMS OF USE’) AND TO REELCOMP'S PRIVACY POLICY WHICH ARE PUBLISHED AT http://www.REELcomp.com, AND WHICH ARE INCORPORATED HEREIN BY REFERENCE. If you do not agree to any of these terms, please (I) LEAVE THE REELCOMP.COM WEBSITE, AND (II) do not use the REELcomp Website.


2. REELComp Website


These Terms of Use apply to all users of the REELComp Website, including users who use the REELComp Website to direct REELComp to store User Submissions on REELComp’s systems, networks, or servers and/or to publish, display, distribute, perform or reproduce such User Submissions, or any derivative work thereof, on the REELComp Website (each a “REELComp User” or collectively “REELComp Users”).


3. Third-Party Websites


The REELComp Website may contain links to third party websites that are not owned or controlled by REELComp. You hereby acknowledge and agree that (i) REELComp has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third party websites, and (ii) REELComp will not and cannot censor or edit the content of any such third-party website. By using the REELComp Website, you expressly release and relieve REELComp from any and all liability arising from your use of any third-party website. Accordingly, we encourage you to be aware when you leave the REELComp Website and to read the terms of use and privacy policy of each other website that you visit.


4. Website Access


A. Subject to the Terms of Use set forth herein, REELComp hereby grants you permission to use the REELComp Website solely for your personal, noncommercial use; provided, however, that (i) you will not copy or distribute the REELComp Website or any part thereof or content contained therein, in any medium or form whatsoever, without REELComp's prior written authorization; (ii) you will not alter or modify any part of the REELComp Website other than as may be reasonably necessary to use the REELComp Website for its intended purpose; and (iii) you will otherwise comply with these Terms of Use.

B. In order to access some features of the Website, you will have to create an account. When creating your account, you must provide accurate and complete information. You are solely responsible for the activity that occurs on your account, and you must keep your account password secure. You must notify REELComp immediately of any breach of security or unauthorized use of your account. Although REELComp will not be liable for your losses caused by any unauthorized use of your account, you may be liable for the losses of REELComp or others due to such unauthorized use. You may not access another REELComp User’s account without permission.

C. You agree not to use or launch any automated system, including without limitation, "robots," "spiders," "offline readers," etc., that accesses the REELComp Website in a manner that sends more request messages to the REELComp servers in a given period of time than a human can reasonably produce in the same period by using a convention on-line web browser. Notwithstanding the foregoing, REELComp grants the operators of public search engines permission to use spiders to copy materials from the site for the sole purpose of creating publicly available searchable indices of the materials, but not caches or archives of such materials. REELComp reserves the right to revoke these exceptions either generally or in specific cases. You agree not to collect or harvest any personally identifiable information, including account names, from the REELComp Website or REELComp’s systems, networks, or servers, nor to use the communication systems provided by the REELComp Website for the purposes of any type of solicitation whatsoever, whether commercial or not.

D. REELCOMP MAY REVOKE ANY OF THE FOREGOING RIGHTS, AS WELL AS ANY REELCOMP USER ACCOUNTS, PASSWORDS, AND/OR ACCESS TO THE REELCOMP WEBSITE, REELCOMP CONTENT AND/OR USER SUBMISSIONS AT ANY TIME AND WITHOUT PRIOR NOTICE.


5. REELComp Privacy Policy


The REELComp Privacy Policy is incorporated herein by reference and forms a part of these Terms of Use and describes the collection


6. Intellectual Property Rights


The content on the REELComp Website, except all User Submissions (as defined below), including without limitation, the text, software, scripts, graphics, photos, sounds, music, videos, interactive features and the like ("REELComp Content") and the trademarks, service marks and logos contained therein ("Marks"), are owned by or licensed to REELComp, subject to copyright and other intellectual property rights under United States and foreign laws and international conventions. REELComp Content on the REELComp Website is provided to you AS IS for your information and personal use only and may not be used, copied, reproduced, distributed, transmitted, broadcast, displayed, sold, licensed, or otherwise exploited for any other purposes whatsoever without the prior written consent of the respective owners. REELComp reserves all rights not expressly granted under these Terms of Use in and to the REELComp Website and the REELComp Content and no other licenses are conferred hereunder, whether by estoppel, implication or otherwise. You agree to not engage in the use, copying, or distribution of any of the REELComp Content other than expressly permitted herein, including any use, copying, or distribution of User Submissions of third parties obtained through the REELComp Website for any commercial purposes. If you download or print a copy of the REELComp Content for personal use, you must retain all copyright and other proprietary notices contained therein. You agree not to circumvent, disable or otherwise interfere with security related features of the REELComp Website or features that prevent or restrict use or copying of any REELComp Content or enforce limitations on use of the REELComp Website or the REELComp Content.


7. User Submissions—General


A. REELComp Users may direct REELComp to upload and store User Submissions on REELComp’s systems, networks, and servers and to publish, display, distribute, reproduce and/or perform such User Submissions, or any derivative work thereof, via the REELComp Website. If you direct REELComp to store a User Submission on the REELComp networks, systems or servers and/or otherwise make the User Submission available via the REELComp Website, you shall, and hereby do, agree and acknowledge that (i) except as set forth in Subsection 5(D) below, REELComp does not edit, review, select, censor or otherwise control the publication of any User Submission, (ii) all User Submissions reside on REELComp’s systems, networks, or servers at your sole direction, (iii) you shall be solely responsible for any User Submission uploaded, stored, published, or otherwise copied, distributed or displayed by REELComp at your direction, and (iv) REELComp does not guarantee any confidentiality with respect to any User Submission that you choose to upload and store on REELComp’s networks, systems or servers and publish or otherwise copy, distribute, perform or otherwise display using the REELComp Website. For the avoidance of doubt, REELComp automatically stores and publishes User Submissions solely at the direction of REELComp Users, subject only to the limited, cursory review set forth in Subsection 5(D) below (the “Automatic Publication Model”).


B. In consideration of REELComp providing you with access to its systems, networks, and/or servers as set forth in Subsection A above, you agree that you will not: (i) submit material that is copyrighted, protected by trade secret or otherwise subject to third party proprietary rights, including privacy and publicity rights, unless you are the owner of such rights or have permission from their rightful owner to post the material and to grant REELComp all of the license rights granted herein; (ii) publish falsehoods or misrepresentations that could damage REELComp or any third party; (iii) submit material that is unlawful, obscene, defamatory, libelous, threatening, pornographic, harassing, hateful, racially or ethnically offensive, or encourages conduct that would be considered a criminal offense, give rise to civil liability, violate any law, or is otherwise inappropriate; (iv) post advertisements or solicitations of business: (v) impersonate another person.


C. With respect to any User Submission uploaded, stored, or published via the REELComp Website at your direction, you hereby represent and warrant that: (i) you own or have the necessary licenses, rights, consents, and permissions to use, authorize, and direct REELComp to copy, store, publish, display, and distribute such User Submission via the REELComp Website in the manner contemplated hereby; and (ii) you have the written consent, release, and permission of each and every identifiable individual person included in the User Submission to use the name or likeness of each and every such identifiable individual person and to use, authorize and direct REELComp to store, copy, display or otherwise distribute such User Submission via the REELComp Website in the manner contemplated hereby.


D. Notwithstanding the foregoing, and in compliance with Section 512(c) of the Digital Millennium Copyright Act (“DMCA”), REELComp reserves the right to conduct a limited review of User Submissions for the sole purpose of identifying and rejecting User Submissions containing content which is (i) obscene, profane, pornographic, sexually explicit or otherwise objectionable, (ii) commercial in nature, (iii) libelous or defamatory with respect to REELComp or any third party, (iv) racially or ethnically or otherwise offensive or hateful to any particular group, (v) on its face, infringing of any third-party’s proprietary rights, (vi) encourages conduct that would be considered a criminal offense, give rise to civil liability, violate any law, or is otherwise inappropriate, including material that depicts child-pornography, acts of violence, drug use or otherwise illegal acts, and/or (vi) material that is clearly and uncontrovertibly unrelated to the subject matter and purpose of the REELComp Website.


E. REELComp’s passive Automatic Publication Model enables you to publish, store, distribute, reproduce and perform User Submissions and you are solely and exclusively responsible for any content, opinion, statement, recommendation or advice contained therein. Notwithstanding anything contained herein, the functionality provided to you by the REELComp Website and REELComp’s systems, networks and servers are not an archive and REELComp shall have no liability to you or any other person for loss, damage, or destruction to your User Submission or any other information submitted to or via the REELComp Website, including without limitation any claims for lost prizes or opportunities in connection with or arising out of, such loss, damage or destruction to a User Submission uploaded to the REELComp Website in anticipation or for the purpose of any Qualifying Competition, as defined in Section 8 below. You shall be solely responsible for (i) uploading your User Submissions, (ii) preventing any loss or damage to your User Submissions, and (iii) maintaining independent archival and backup copies of any User Submission.


8. User Submissions—Qualifying Competition


Except as set forth in Subsection 7 D, REELComp expressly disclaims any right and ability to select, edit, censor or otherwise control which User Submissions are stored, published, displayed, distributed or otherwise generally made available through the REELComp Website at the direction of REELComp Users. Notwithstanding the foregoing, for the exclusive purposes of conducting certain competitions on the REELComp website, (hereafter, each a “Qualifying Competition”), REELComp reserves the right to review, select, judge, disqualify or otherwise distinguish between User Submissions for the exclusive purpose of conducting certain competitions in accordance with the REELComp Rules and Regulations. For the avoidance of doubt, disqualification, removal, promotion, or any other exercise of discretion on the part of REELComp with respect to any User Submission as part of a Qualifying Competition shall not affect any User’s ability, at his or her sole direction and subject to the limited restrictions set forth in Subsection 5,to upload such User Submission to the REELComp systems or networks and to direct REELComp to publish, display and distribute such User Submission, or any derivative work thereof, on the REELComp Website.


9. Grant of License


A. In submitting the User Submissions to REELComp, you hereby grant to REELcomp, the REELComp Website and REELComp's successor's and assigns, a worldwide, non-exclusive, royalty-free, sublicenseable, perpetual and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the User Submissions in connection with (i) the purpose, functionality, and operation of the REELComp Website in the ordinary course of business, (ii) any REELComp Qualifying Competition, (iii) streaming web channel presentations and, (iv) the promotion, marketing or redistribution of part or all of the REELComp Website (and derivative works thereof) in any media formats and through any media channels for any purpose whatsoever.

B. For the avoidance of doubt, you hereby acknowledge that REELComp may use, display, distribute, copy, or otherwise perform any User Submission, or any derivative work thereof, in connection with streaming web channels You further acknowledge that such use may be commercial in nature and, as a result, cause your User Submission to be associated with a particular sponsor or sponsors. Accordingly, you hereby waive any objection to, such use, distribution, reproduction, display or performance of your User Submission, and any claim for compensation whatsoever in connection therewith. Such waiver shall include any claim for infringement of any so-called “Moral Right,” “Droit Moral” or similar right or interest.

C. For the avoidance of doubt, subject to the foregoing licenses granted herein, as between REELComp and you, you retain all ownership rights in your User Submission, provided, however, that any licenses granted hereunder shall be perpetual and nothing shall restrict or prevent REELComp’s continued use, reproduction, performance, display or distribution of a User Submission, or any derivative work thereof, once such license has been by you to REELComp.


10. Digital Millennium Copyright Act


A. Notwithstanding REELComp’s passive Automatic Publication Model, REELComp is committed to respecting and protecting the legal rights of copyright owners. As such, REELComp adheres to the following notice and take down policy, in full compliance with Section 512(c)(3) of the DMCA (17 U.S.C. § 512 et seq.).

B. REELComp shall remove a User Submission upon receipt of notification alleging that such User Submission infringes on the intellectual property rights of another (hereafter a “DMCA Takedown Notice”). To be valid, a DMCA Takedown Notice must (i) be provided to REELComp’s designated agent, (“Copyright Agent”), as set forth in Subsection 8(C) below, and (ii) must include the following:



  • A physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed;

  • Identification of the copyrighted work claimed to have been infringed, or, if multiple copyrighted works at a single online site are covered by a single notification, a representative list of such works at that site;

  • Identification of the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled and information reasonably sufficient to permit the service provider to locate the material;

  • Information reasonably sufficient to permit the service provider to contact you, such as an address, telephone number, and, if available, an electronic mail;

  • A statement that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and

  • A statement that the information in the notification is accurate, and under penalty of perjury, that you are authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.


C. REELComp's Copyright Agent to receive DMCA Takedown Notices is: Chad Moore, email: copyright@REELcomp.com, telephone: 702-556-8784. For clarity, only DMCA notices should go to the Copyright Agent; any other feedback, comments, requests for technical support, and other communications should be directed to REELComp customer service through http://www.REELcomp.com/contact. You acknowledge that in order for REELComp to be authorized to takedown any User Submission, your DMCA Takedown Notice must comply with all of the requirements of this Section 8(B), y

D. Upon receipt of a valid DMCA Takedown Notice, REELComp shall (i) remove the allegedly infringing User Submission, or disable access thereto, and (ii) take reasonable steps to contact the REELComp User at who’s direction the allegedly infringing REELComp User Submission resided on the REELComp system. If you are such a REELComp User , you may dispute the allegation of infringing activity by providing a counter-notification (“DMCA Counter-Notice”) containing the following information to the Copyright Agent:



  • Your physical or electronic signature;

  • Identification of the content that has been removed or to which access has been disabled and the location at which the content appeared before it was removed or disabled;

  • A statement that you have a good faith belief that the content was removed or disabled as a result of mistake or a misidentification of the content; and

  • Your name, address, telephone number, and e-mail address, a statement that you consent to the jurisdiction of the federal court in Las Vegas, Nevada and a statement that you will accept service of process from the person who provided notification of the alleged infringement.


Upon receipt of a DMCA Counter Notice, the Copyright Agent shall send a copy of the DMCA Counter Notice to the original complaining party and inform such party that REELComp shall replace the removed User Submission or cease disabling it in 10 business days unless the Copyright Agent receives notice from the complaining party that the complaining party has filed an action seeking a court order to restrain the REELComp User from engaging in the allegedly infringing activity related to the User Submission.

E. If you post two or more User Submission(s) (i) which are the subject of DMCA Takedown Notices, and (ii) which you do not satisfactorily rebut with valid DMCA Counter Notices, you shall be determined to be a “Repeat Infringer,” in which case, in addition to any other available rights and remedies, REELComp reserves the right to terminate your REELComp User account.


11. Warranty Disclaimer


THE REELCOMP WEBSITE, REELCOMP CONTENT AND/OR ANY USER SUBMISSION ACCESSIBLE VIA THE REELCOMP WEBSITE ARE PROVIDED BY REELCOMP “AS IS,” AND YOU AGREE THAT YOUR USE OF ANY OF THE FOREGOING SHALL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, REELCOMP, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE REELCOMP WEBSITE, THE REELCOMP CONTENT, REELCOMP’S NETWORK, SYSTEMS, AND/OR SERVERS AND ANY SERVICES, CONTENT OR USER SUBMISSIONS ACCESSIBLE THEREIN INCLUDING, WITHOUT LIMITATION, ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, OR THAT YOUR USE OF THE REELCOMP WEBSITE, REELCOMP CONTENT AND OR USER SUBMISSIONS WILL MEET YOUR EXPECTATIONS, BE UNINTERRUPTED, VIRUS OR ERROR-FREE, OR COMPLETELY SECURE. SHOULD APPLICABLE LAW NOT PERMIT THE FOREGOING EXCLUSION OF EXPRESS OR IMPLIED WARRANTIES, THEN REELCOMP HEREBY GRANTS THE MINIMUM EXPRESS AND IMPLIED WARRANTIES REQUIRED BY SUCH APPLICABLE LAW. FURTHER, REELCOMP MAKES NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF THE REELCOMP WEBSITE, REELCOMP CONTENT, AND/OR USER SUBMISSIONS OR THE CONTENT OF ANY SITES LINKED TO THE REELCOMP WEBSITE AND ASSUMES NO LIABILITY OR RESPONSIBILITY FOR ANY (I) ERRORS, MISTAKES, LACK OF COMPLETENESS, OR INACCURACIES OF CONTENT, (II) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO AND USE OF THE REELCOMP WEBSITE, REELCOMP CONTENT, AND/OR USER SUBMISSIONS (III) ANY UNAUTHORIZED ACCESS TO OR USE OF REELCOMP’S SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION AND/OR FINANCIAL INFORMATION STORED THEREIN, (IV) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE REELCOMP WEBSITE, REELCOMP CONTENT, AND/OR USER SUBMISSION (IV) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE WHICH MAY BE TRANSMITTED TO OR THROUGH OUR WEBSITE BY ANY THIRD PARTY, AND/OR (V) ANY ERRORS OR OMISSIONS IN ANY CONTENT OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF THE USE OF ANY CONTENT POSTED, EMAILED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE REELCOMP WEBSITE, REELCOMP CONTENT AND OR USER SUBMISSIONS. REELCOMP DOES NOT WARRANT, ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY PRODUCT, OPINION, ADVICE, RECOMMENDATION OR SERVICE PROMOTED, ADVERTISED OR OFFERED BY ANY REELCOMP USER, THIRD PARTY, OR OTHER ENTITY MADE AVAILABLE THROUGH THE REELCOMP WEBSITE, REELCOMP CONTENT, AND/OR USER SUBMISSIONS OR ANY HYPERLINKED WEBSITE OR FEATURED IN ANY BANNER OR OTHER ADVERTISING, AND REELCOMP WILL NOT BE A PARTY TO OR IN ANY WAY BE RESPONSIBLE FOR MONITORING ANY TRANSACTION BETWEEN YOU AND THIRD-PARTY PROVIDERS OF PRODUCTS OR SERVICES. AS WITH THE PURCHASE OF A PRODUCT OR SERVICE THROUGH ANY MEDIUM OR IN ANY ENVIRONMENT, YOU SHOULD USE YOUR BEST JUDGMENT AND EXERCISE CAUTION WHERE APPROPRIATE.


12. Limitation of Liability


IN NO EVENT SHALL REELCOMP, AND ITS AFFILIATES, AGENTS, REPRESENTATIVES AND LICENSORS, AND/OR ITS AND THEIR OWNERS, SUBSIDIARIES, AFFILIATES AND ITS OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUCCESSORS AND ASSIGNS, BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES WHATSOEVER ARISING OUT OF, RESULTING FROM, OR IN CONNECTION WITH ANY (I) USE OF THE REELCOMP WEBSITE, REELCOMP CONTENT AND/OR USER SUBMISSIONS, (II) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT, (III) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO AND/OR USE OF THE REELCOMP WEBSITE, REELCOMP CONTENT AND/OR USER SUBMISSIONS, (IV) UNAUTHORIZED ACCESS TO OR USE OF ANY RELATED SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION AND/OR FINANCIAL INFORMATION STORED THEREIN, (V) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE REELCOMP WEBSITE, REELCOMP CONTENT AND/OR USER SUBMISSIONS, (VI) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE, WHICH MAY BE TRANSMITTED TO OR THROUGH THE REELCOMP WEBSITE, REELCOMP CONTENT AND/OR USER SUBMISSIONS WEBSITE BY ANY THIRD PARTY, AND/OR (VII) ANY ERRORS OR OMISSIONS IN ANY CONTENT OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF YOUR USE OF ANY CONTENT POSTED, EMAILED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE REELCOMP WEBSITE, REELCOMP CONTENT AND/OR USER SUBMISSIONS, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, AND WHETHER ORNOT THE COMPANY IS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE FOREGOING LIMITATION OF LIABILITY SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW IN THE APPLICABLE JURISDICTION. YOU HEREBY WAIVE ANY AND ALL CLAIMS AGAINST REELCOMP, AND ITS AFFILIATES, AGENTS, REPRESENTATIVES AND LICENSORS, AND/OR ITS AND THEIR OWNERS, SUBSIDIARIES, AFFILIATES AND ITS OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUCCESSORS AND ASSIGNS, ARISING OUT OF YOUR USE OF THE REELCOMP WEBSITE, REELCOMP CONTENT AND/OR ANY USER SUBMISSION. YOU SPECIFICALLY ACKNOWLEDGE THAT REELCOMP SHALL NOT BE LIABLE FOR USER SUBMISSIONS OR THE DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF ANY THIRD PARTY AND THAT THE RISK OF HARM OR DAMAGE FROM THE FOREGOING RESTS ENTIRELY WITH YOU. IF YOU ARE DISSATISFIED WITH THE REELCOMP WEBSITE, THE REELCOMP CONTENT, AND/OR ANY USER SUBMISSION, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING AND ACCESSING THE REELCOMP WEBSITE.

The REELCOMP Website is controlled and offered by REELComp from its facilities in the United States of America. REELComp makes no representations that the REELComp Website is appropriate or available for use in other locations. Those who access or use the REELComp Website from other jurisdictions do so at their own volition and are responsible for compliance with local law. THE LIMITATION OF LIABILITY HEREIN IS A FUNDAMENTAL ELEMENT OF THE BASIS OF the BARGAIN AND REFLECTS A FAIR ALLOCATION OF RISK. THE REELCOMP WEBSITE, REELCOMP CONTENT, USER SUBMISSIONS, AND ACCESS TO THE REELCOMP SYSTEMS, NETWORKS AND SERVERS WOULD NOT BE PROVIDED WITHOUT SUCH LIMITATIONS AND YOU AGREE THAT THE LIMITATION AND EXCLUSIONS OF LIABILITY, DISCLAIMERS AND EXCLUSIVE REMEDY SPECIFIED HEREIN WILL SURVIVE AND APPLY EVEN IF FOUND TO HAVE FAILED THEIR ESSENTIAL PURPOSE. BECAUSE SOME JURISDICTIONS DO NOT ALLOW the EXCLUSION OR LIMITATION OF CERTAIN DAMAGES AND/OR the EXCLUSION OF CERTAIN REMEDIES, IN SUCH JURISDICTIONS, YOU AGREE THAT THE LIABILITY OF SUCH COMPANY SHALL BE LIMITED TO the FULLEST EXTENT PERMITTED BY SUCH JURISDICTION.


13. Community Guidelines


The REELComp Website may include bulletin board, chat rooms, video comments sections, and other community forums which allow you and other REELComp Users to post information, provide feedback to REELComp, comment on User Submissions, and otherwise interact with other REELComp Users, either through postings or by interacting in real-time. In connection with such services, you agree to abide by REELComp’s Content Guidelines, including but not limited to, agreeing not to use the REELComp Website for any unlawful purpose. A copy of the REELComp Code of Conduct, which you should review, is available here. (Content Guidelines) Although REELComp may from time to time review discussions, chats, video comments, transmissions, bulletin boards and other community forums available via the REELComp Website, you acknowledge that REELComp is under no obligation to do so. You acknowledge that REELComp shall have no obligation to monitor or control, and shall have no liability for, any information available on the video comments, chat rooms and community forums available at the REELComp Website and that any opinions, statement, recommendation, offers, advice or other information presented or disseminated on any chat room, video comment or other community forum available at the REELComp Website are those of their respective authors who are solely responsible and liable for their content. REELComp reserves the right, in its sole discretion, to refuse to post or remove any material submitted or posted on the chat rooms, video comments, bulletin boards or any other community forums available at the REELComp Website.


14. Trademarks


“REELComp," the REELComp logo, and other marks, logos and titles are registered and/or common law trade names, trademarks or service marks of REELComp or its sponsors, affiliates or licensors. All other products, company names or other trademarks or service marks appearing on the REELComp Website are the property of their respective owners. Nothing contained in the REELComp Website, these REELComp Terms of Use or the REELComp Privacy Policy shall be construed as granting, by implication, estoppel, or otherwise, any license or right to use any mark displayed on the REELComp Website without prior written permission of REELComp and/or the respective owners.


15. Indemnity


You hereby agree to defend, indemnify and hold harmless REELComp, its owners, parents, subsidiaries, and/or affiliates, and its and their respective officers, directors, employees, agents, successors and assigns, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from: (i) the copying and storage of any User Submission on REELComp’s systems, networks, and/or servers, (ii) any publication, distribution, performance, or display of such User Submission ,or any derivative work thereof , (iii) any other claim, damage, obligation, loss or liability related to or arising from your use of and access to the REELComp Website; (iv) your violation of any term of these Terms of Use; (v) your violation of any third party right, including without limitation any copyright, property, or privacy right; or (vi) any claim that one of your User Submissions caused damage to a third party, including but not limited to any claim of defamation, right of publicity, unfair competition, or allegation of obscenity related to your User Submission. This defense and indemnification obligation will survive these Terms of Use and your use of the REELComp Website.


16. Waiver


You understand that when using the REELComp Website, you will be exposed to User Submissions from a variety of sources, and that REELComp is not responsible for the accuracy, usefulness, safety, or intellectual property rights of or relating to such User Submissions. You further understand and acknowledge that you may be exposed to User Submissions that are inaccurate, offensive, indecent, or objectionable, and you agree to waive, and hereby do waive to the fullest extent allowed by law regarding all matters related to your use of the site, any legal or equitable rights or remedies you have or may have against REELComp with respect thereto.


17. Ability to Accept Terms of Service


You affirm that you are either more than 18 years of age, or an emancipated minor, or possess legal parental or guardian consent, and are fully able and competent to enter into the terms, conditions, obligations, affirmations, representations, and warranties set forth in these Terms of Use, and to abide by and comply with these Terms of Use.


18. Assignment


These Terms of Use, and any rights and licenses granted hereunder, may not be transferred or assigned by you, but may be assigned by REELComp without restriction.


19. Termination


REELComp may terminate your access to the REELComp Website, REELComp Content, and/or any User Submission at any time. Upon termination, you agree to cease all use of he REELComp Website, REELComp Content, and/or any other party’s User Submission. Without limiting the foregoing, REELComp shall have the right to terminate your REELComp User account and your access to he REELComp Website, REELComp Content, and/or any User Submission in the event of any conduct by you, or through your REELComp User account, which REELComp, in its sole discretion, considers to be unacceptable, or in the event of any breach by you of these Terms of Use. The provisions of Sections 9, 11, 12, 15, and 21 shall survive and continue in full force and effect, in addition to any other provision of these Terms of Use that by its nature is intended to survive.


20. Notice


REELComp reserves the right to amend these Terms of Service at any time. In the event that REELComp does amend these Terms of Use, REELComp shall provide you with general, not specific, notice of such changes by posting a conspicuous announcement on the REELComp Website homepage that (i) such changes or amendments have occurred, and (ii) identifying which particular provisions have changed. Such announcement shall be maintained for no less than [30] days following the effective date of such amendment. Your continued use of the REELComp Website following the posting of such announcements will signify and be deemed your assent to and acceptance of the revised Terms of Use.


21. General


You agree that: (i) the REELComp Website shall be deemed solely based in Nevada; and (ii) the REELComp Website shall be deemed a passive website that does not give rise to personal jurisdiction over REELComp, either specific or general, in jurisdictions other than Nevada. These Terms of Use shall be governed by the internal substantive laws of the State of Nevada, other than such laws, rules, regulations and case law that would result in the application of the laws of a jurisdiction other than the State of Nevada. Any claim or dispute between you and REELComp that arises in whole or in part from the REELComp Website shall be decided exclusively by a court of competent jurisdiction located in Las Vegas, Nevada. Each party hereby agrees that such court shall have in personam jurisdiction and venue with respect to such party, and each party hereby submits to the in personam jurisdiction and venue of such courts and waives any objection based on inconvenient forum. These Terms of Use, together with the Privacy Notice at http://reelcomp.com/browse/privacy and any other legal notices published by REELComp on the Website, shall constitute the entire agreement between you and REELComp concerning the subject matter hereof and supersedes any prior agreements or understandings, written or oral. If any provision of these Terms of Use is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms of Use, which shall remain in full force and effect. No waiver of any term of this these Terms of Use shall be deemed a further or continuing waiver of such term or any other term, and REELComp's failure to assert any right or provision under these Terms of Use shall not constitute a waiver of such right or provision. A printed version of these Terms of Use and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to these Terms of Use to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form. YOU AND REELCOMP AGREE THAT ANY CAUSE OF ACTION ARISING OUT OF OR RELATED TO THE REELCOMP WEBSITE MUST COMMENCE WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES. OTHERWISE, SUCH CAUSE OF ACTION IS PERMANENTLY BARRED.
